CONDITIONS OF SALE

All orders for goods are accepted from ‘the Purchaser’ by POWELL OFFICE EQUIPMENT who also trade under the title POWELL OFFICE STYLE (hereinafter called ‘the Supplier’) subject to the following terms and conditions which shall form part of and govern the Contract of Sale.  Acceptance of goods is deemed to be acceptance of these Conditions of Sale.  Any term sought to be imposed by a Purchaser that conflicts with or adds to these conditions is not accepted.

1. PAYMENT AND PRICE
   Payment shall be due nett monthly, unless otherwise agreed in writing and the Supplier reserves the right to charge interest on any overdue amount at the rate of 3% per month.  The prices for the goods shall be in accordance with the Supplier’s current prices which are subject to change and orders are accepted on the basis that the prices charged shall be the prices ruling at the date of despatch.  Price Lists do not constitute an offer.
2. AVAILABILITY OF GOODS 
   The supplier will use its best endeavours to comply with the date named for the despatch of the delivery which date is given and intended as an estimate only and is not to be of essence of the Contract.
3. PROPERTY AND RISK
   
   1. For so long as any amounts remain owing from the Purchaser to the Supplier title to and ownership of the goods in question will remain with the Supplier and will not pass to the Purchaser until the Supplier has received payment in full.  At any time after the due date for payment of any amounts owing from the Purchaser to the Supplier the latter shall be entitled to require the Purchaser to return to the Supplier and shall have the right to enter the Purchaser’s premises and remove there from all goods which remain the property of the Supplier whether due for payment or not.
   2. From the time of despatch of the goods by the Supplier until the time of delivery to the Purchaser’s premises the risk of any loss or damage to the goods shall be bore by the Supplier and there after the goods shall be at the risk of the Purchaser.
4. DELIVERY
   1. When available and when required orders for goods with a total order value of over £25 plus VAT will be delivered next day free of charge.
   2. Orders for goods with a total order value of under £25 plus VAT will be delivered within three days free of charge.  For these goods, priority next day delivery is available at an additional charge of £5.00 plus VAT.
5. CLAIMS
   1. No liability for any claim for damage will be accepted unless the Supplier is notified in writing by the Purchaser within seven days of delivery.
   2. No liability for any claim for non-delivery will be accepted unless the claim is notified in writing to the Supplier within fourteen days from the date of the invoice.
6. RETURNED GOODS
   1. The Supplier will not accept returned goods for Credit unless such return has been authorised in writing and goods are received by the Supplier in good condition and the Supplier reserves the right to accept the return of the goods or whether to rectify the goods or whether to issue a Credit Note in respect thereof.
   2. The Supplier reserves the right to charge a handling charge on returns over ten days old.
   3. The Supplier reserves the right to refuse return of goods purchased specially for the Purchaser and which it can neither return to the manufacturer nor realistically re-sell.
   4. The Purchaser shall, unless otherwise stated, be responsible for the cost of Carriage and Insurance in respect of all goods returned by the Purchaser to the Supplier for Service or Credit which goods shall be at the risk of the Purchaser until actual receipt thereof by the Supplier.

If any part of these conditions shall be unenforceable it shall not affect the validity or enforceability of the remainder of the Conditions.
